Position Summary
Draft, review, negotiate, and finalize Business Associate Agreements (BAAs) with vendors, partners, and service providers. Collaborate with Legal, Compliance, and Procurement teams to ensure BAAs align with organizational policies and regulatory requirements. Maintain a centralized repository of all executed BAAs and ensure timely renewals or amendments. Monitor regulatory changes related to HIPAA and update BAA templates and processes accordingly. Respond to internal and external inquiries regarding BAA terms, obligations, and compliance. Support audits and risk assessments by providing documentation and insights related to BAAs. Develop and deliver training or guidance materials on BAA processes for internal stakeholders. Also support general contract management for the team including reviewing and negotiating contracts, developing and improving templates and supporting the Contract Lifecycle Management process.
Job Description
Primary Duties & Responsibilities:
BAA Governance
- Oversee the end-to-end process of Business Associate Agreements to ensure compliance with HIPAA regulations and internal privacy policies.
- This role serves as a key liaison between legal, HIPAA Privacy Office, compliance, procurement, and external partners to manage, track, and maintain all BAAs and related documentation.
Purchase Request Document Review
- Insure appropriateness of requests, advise departments of cost saving opportunities.
- Purchase order and contract sign-off authority is up to $500,000.
Contract Management
- Help maintain and continuously improve the organization’s contract templates and clause library to ensure consistency, legal compliance, and alignment with business objectives.
- Collaborate with Legal, Procurement, and Business Units to update standard terms and incorporate regulatory or policy changes.
- Draft, review, and customize contract documents—including NDAs, MSAs, SOWs, and amendments—based on approved templates and negotiated terms.
- Ensure version control, accessibility, and proper documentation of all contract-related materials within the contract lifecycle management (CLM) system.
Customer Service
- Establish and maintain a collaborative relationship with the various organizations at WashU.
- Assists departments as needed with general purchasing requirements.
- Troubleshoots issues as they occur.
Special Projects
- Manage special projects as assigned.

- Bachelor's degree in Business, Legal Studies, Healthcare Administration or related field.
- JD or paralegal certification.
- Five years experience in contract management, legal operations and/or healthcare compliance.
- Strong understanding of HIPPA Privacy and Security Rules.
- Experience with contract lifecycle management (CLM) systems.
- Strong negotiation, analytical and communication skills (verbal and written) and a sensitivity to effectively interacting with a highly diverse campus community.
- Expertise in influencing and leading matrixed teams.

Salary Range
$84,200.00 - $148,500.00 / AnnuallyThe salary range reflects base salaries paid for positions in a given job grade across the University. Individual rates within the range will be determined by factors including one's qualifications and performance, equity with others in the department, market rates for positions within the same grade and department budget.
